'Accelerate HR' Terms of Service

By using the Accelerate HR web site("Service"), a service of Business Buds, you are agreeing to be bound by the following terms and conditions ("Terms of Service").

Business Buds reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such change shall constitute your consent to such changes. All changes to the Terms of Service will be posted here.

Violation of any of the Terms of Service may result in the termination of your Account. While Business Buds prohibits such conduct and content on the Service, you understand and agree that Business Buds cannot be responsible for the content posted on the Service, and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

At present, the Service is under development, with new material, enhancements, revisions and corrections being introduced on a daily basis. While Business Buds will endeavour to ensure that there is no loss of user data as the Service is developed, and that all operations and calculations are correct, we can give no guarantees. Users are advised to enter only a limited amount of test data while the Service remains under development.

Definitions    (Page Index)

1. "Public Areas" of the Service are those that may be accessed without the requirement to login. "Private Areas" are those where a login is required. Public areas of the service may be read without the requirement for an Account. However no material may be posted to the Service unless you have a valid user name and have then provided an authentic password to log in.

2. "Business Acccounts" are collections of data relating to a single business and are stored in the Private Areas. Each Business Account may have multiple locations in multiple countries, with multiple divisions and departments, and records for up to 5000 employees.

3. Within the Private Areas, "Access Rights" include but are not limited to:

Administrator

Full access to all the records of the user's own business.

HR Team

The ability to view and edit data within areas of the business defined by the Administrator. The Administrator may restrict access to a single Module or a group of Modules. (For example, a user may be given access to the 'Staff Records' module but not the 'Payroll' module. The Administrator may also limit an HR Team user's access by location or by employee rank (for example, access may be denied to the records of senior staff).

Management

Read-only access to various management reports of the business, with the option to restrict the reports by one or more of the locations specified for the business.

Department Heads

Read- and limited write- access (e.g. overtime reporting) to employee records within a single department of the business.

Self-Service

An employee's access to his / her own records. Individuals may initiate updates to their own records (for example, applying for vacation, editing family records) but all changes proposed must be authorized by the HR Team or the Administrator before they are finally accepted into the core database.

4. Each of the authorized users of a Business Account will have access to one or more "Modules", at the discretion of the Administrator. Each Module has a separate function, and range of authorities. The Administrator may decide that the business should use all the Modules or only some of them. The Administrator also defines which Module(s) should be available to each authorized user in the business. The Modules planned for Accelerate HR are:

Account Terms    (Page Index)

1. Each Business Account must have an Administrator. By default, the person who first signs up the business for the Service is the first Administrator, but he or she may then cede this role to another person named in the database. The Administrator is responsible for defining which of the Service's Modules other employees of the business may use, and will determine the access rights for each employee. Business Buds will not be responsible for any failure by an Administrator to correctly authorize the Access Rights.

2. Each authorized user - including the Administrator - will be asked to provide a unique login, a combination of a User Name and a Password. Logins may be used by only one person - a single login shared by several people is not permitted.

3. Individual users are responsible for maintaining the security of their accounts and passwords. Business Buds will not be liable for any loss or damage from a user's failure to comply with this security obligation.

4. Users are responsible for all content posted and activity that occurs under their Account. Business Buds will notify the Administrator if any breach of the General Conditions has occurred. Repeated or severe violations by any user of the business, will lead to a suspension or termination of the Service to the business, at the sole discretion of Business Buds.

5. Business Buds has exerted its best efforts to protect the confidentiality of data and to restrict access only to the records each user is authorized to see. Any wilful attempt by a user to bypass the Service's standard security measures in order to access records which he or she is not permitted to see or modify will result in an immediate termination of the Service to the user.

6. Users may not use the Service for any illegal or unauthorized purpose, and must not not, in the use of the Service, violate any laws in their jurisdiction (including but not limited to copyright laws).

7. Each user login to the Service is recorded and datestamped. Business Buds reserves the right to remove the records of a business from the database when there has been no user login from anyone in the business for one year or more.

Payment Terms    (Page Index)

1. During the Service's development phase, NO FEES will be charged for use of the Service.

2. When development is complete, it is likely that a monthly fee will be charged for use of the service, although BUSINESSES THAT HAVE SIGNED UP FOR THE SERVICE DURING THE DEVELOPMENT PHASE WILL CONTINUE TO BE ABLE TO USE THE STANDARD SERVICE WITHOUT CHARGE FOR AT LEAST ONE YEAR..

3. Currently the plan is to charge businesses the following monthly fees after the Service has been fully developed.

1 - 10 Employee Records                       Free
11 - 50 Employee Records                    25 Euros/month
51 - 100 Employee Records                   50 Euros/month
101 - 250 Employee Records                 100 Euros/month
251 - 1000 Employee Records               150 Euros/month
1001 - 2500 Employee Records             200 Euros/month
2501 - 5000 Employee Records             250 Euros/month

4. Separate rates will be individually quoted for any businesses who may wish to:

* Customize the Service
* Install the Service on their own internal Intranet
* Invite the Business Buds team to maintain Accelerate HR on their behalf.

Cancellation and Termination    (Page Index)

1. The Administrator is solely responsible for properly cancelling a Business Account. An email or phone request to cancel a Business Account is not considered cancellation. Administrators can cancel their Account at any time by clicking on the Membership / Account link in the navigation menu in the left-hand sidebar. The Account screen provides a simple no-questions-asked cancellation link.

2. One month after cancellation of a Business Account, all Account-related content will be deleted from the Service. The 1-month grace period allows individual users to keep copies of any data that might be important to them. No notification will appear to users of the Service that the account has been closed. After records have been deleted they can no longer be recovered.

3. If the business wishes to cancel the cancellation within the 1-month notice-period, the Administrator can do so on the Account page, and there will be no loss of data.

4. Business Buds, in its sole discretion, has the right to suspend or terminate a Business Account and refuse all current or future use of the Service for any reason at any time. Such termination of the Service will result in the deactivation or deletion of the Business Account or user access to the Account, and the forfeiture or relinquishment of all content in the Account. Business Buds reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices    (Page Index)

1. Business Buds reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

2. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from Business Buds.

3. Business Buds shall not be liable to client businesses or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership    (Page Index)

1. The look and feel of the Service, as well as proprietary names including Accelerate HR and the original methods and calculations used in the Service are the copyright of Business Buds. Users may not duplicate, copy or reuse any of these elements without express written permission from Business Buds.

2. By submitting material to the Public Areas of the Service, you are consenting to allow others to view and share your content and to identify you as the author. Any such material remains your property, and Business Buds claims no intellectual property rights over it.

5. Data entered into the Private Areas of the Service is available only to authorized users from the Business. Business Buds claims no intellectual property rights over a business's private material.

6. Material submitted to Public Areas of the Service is monitored by Business Buds. Business Buds reserves the right to remove material from the Public Areas, or to refuse to publish it, if it fails to conform to our General Conditions below. However, Business Buds will not censor ideas or stifle reasonable and fair criticism.

Business Buds Privacy Policy    (Page Index)

1. A signup requirement is that you should include a valid email address. And you have stored confidential personal information about your company' employees in the Accelerate HR database. Business Buds has taken every reasonable precaution to preserve the confidentiality of your data, and undertakes not to sell your data to or share your data with any third party, except to provide products or services you have requested, or when we have your permission, or under the following circumstances:

A. It is necessary to share information in order to investigate, prevent or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violation of our Terms of Service, or as otherwise required by law.
B. We transfer information about you if Business Buds or Accelerate HR is acquired by or merged with another company. In this event, Business Buds will notify you before information about you is transferred and becomes subject to a different privacy policy.

2. Although the Service does not publish a client list, Corporate Users are required to identify their employer when they sign up, and this process may permit them to see the name of clients other than their own business. However, while users from other businesses may know that your business uses the Service, our security methods ensure that they will not be able to access your data.

3. The Service requires that you enable 'cookies', small items of data which carry a unique but anonymous identifier of your browser. Our use of cookies is limited to a single session, and we do not mark your browser with permanent cookies, which many would consider to be a security risk.

4. Business Buds will collect and aggregate data for research purposes, in order to provide additional client services later. We undertake not to publish research which would allow you or your business to be identifiable, unless with your permission.

General Conditions    (Page Index)

1. Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.

2. Technical support is available through two different channels. You are permitted to add Questions to the Frequently Asked Questions of the Service. Or you may email Business Buds directly at support@jobwd.com for assistance. We regret that we are unable to provide a phone support service at this time.

3. You understand that Business Buds uses third party vendors and hosting services to provide the necessary hardware, software, networking, storage and related technology required to run the service.

4. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, Business Buds or any other Business Buds service.

5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service or access to the Service without the express written permission of Business Buds.

6. Business Buds may, but has no obligation to, remove content and Accounts containing content that in our sole discretion we consider to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable, or which violates any party's intellectual property or these Terms of Service.

7. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Business Buds customer, employee, member or officer will result in immediate Account termination.

8. You must not upload, post, host or transmit unsolicited email, SMS's or "spam" message.

9. You must not transmit any worms or viruses or any code of a destructive nature.

10. Although we will always endeavor to provide first-class products and services, Business Buds cannot warrant that (i) the Service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the Service will be corrected.

11. You expressly understand and agree that Business Buds shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Business Buds has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; (v) or any other matter relating to the Service.

12. The failure of Business Buds to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Business Buds and governs your use of the Service, superceding any prior agreements between you and Business Buds (including, but not limited to, any prior versions of the Terms of Service).
